Funder Platform Agreement
For funders, donors, and investors engaging on Pandi Now

This agreement governs your activity as a funder on Pandi Now. It supplements the Platform Entry Agreement and Member Agreement. Read it before engaging with any initiative.
1. Parties
This Funder Platform Agreement is between Pandi Now Inc. ("Pandi Now") and the registered member engaging with initiatives as a funder, donor, or investor ("Funder," "you").
2. What the Platform Is — and Is Not
Pandi Now is an information and introduction platform only. It is not a securities exchange, broker-dealer, investment advisor, crowdfunding portal, or payment processor. Nothing on this platform is an offer or solicitation to buy or sell securities.
Information on the platform is provided by founders. Pandi Now applies a transparency standard to all listings but does not independently verify every piece of information. You are responsible for your own due diligence before committing any capital.
3. Your Representations and Warranties
By engaging with initiatives as a funder, you represent and warrant that:
- You are of legal age and have legal capacity to enter binding agreements in your jurisdiction
- You understand that contributing to or investing in initiatives involves risk, including potential total loss
- You have conducted or will conduct your own independent due diligence before committing capital
- You are not relying on Pandi Now for investment, legal, financial, or tax advice
- You are acting in compliance with all laws applicable to your funding activities
- You are not engaging in money laundering, fraud, or any unlawful activity
4. Accredited Investor Acknowledgment
Certain venture opportunities are available only to accredited investors as defined under applicable law. If you access such opportunities, you additionally represent that you meet the definition of an accredited investor, have sufficient knowledge to evaluate risks, can bear the economic risk including total loss, and will provide documentation if requested.
5. Two Types of Funding
5.1 Contributions — Nonprofit / Foundation Initiatives
Contributions are charitable in nature, directed to initiatives under the Pandi Now Foundation or equivalent nonprofit structures. They carry no expectation of financial return. Tax deductibility depends on your jurisdiction — Pandi Now does not provide tax advice.
5.2 Venture Investments — For-Profit Initiatives
Venture investments are capital commitments to for-profit ventures. These require a separate written agreement — a term sheet or investment contract — executed directly between you and the founder. This Agreement does not constitute or replace that agreement.
Pandi Now is not a party to any investment agreement between you and a founder. All investment terms are negotiated and executed directly between the parties.
6. No Guarantee
Pandi Now makes no guarantee regarding the success or outcomes of any initiative, the accuracy of milestone reports, the return of any capital, the tax treatment of any contribution, or the completion of any project. All funding decisions are at your sole risk and discretion.
7. Confidentiality
Information shared with you about founders and initiatives is confidential. You agree not to share founder materials with third parties without consent, use confidential information beyond evaluating a funding decision, or contact founders outside the platform in a way that circumvents Pandi Now's processes.
8. Limitation of Liability
Pandi Now is not liable for any loss, damage, or harm resulting from your funding decisions, reliance on founder-provided information, or use of the platform. Pandi Now's total liability shall not exceed fees paid by you in the 12 months preceding the claim.
9. Governing Law
This Agreement is governed by the laws of the State of Delaware, United States. Disputes shall first be addressed through good-faith negotiation, and if unresolved, through binding arbitration under AAA rules in Delaware.
