Platform Entry Agreement

What you agree to by entering Pandi Now

By entering this platform and creating an account, you agree to these terms. This is not a formality. Every person on Pandi Now (founder, funder, or guest member) is bound by what follows.

1. What Pandi Now Is

Pandi Now is a technology and transparency hub that connects founders with funders through structured, transparent, milestone-based initiatives. We provide the operating system (the standard, the tools, end-to-end visibility, and analytics) across two tracks: charitable contributions to nonprofit initiatives, and venture funding of for-profit initiatives. We do not raise capital, sell securities, execute securities transactions, or make funding decisions on your behalf. Where a venture-track initiative involves securities, the related offering, due diligence, investor verification, and compliance are carried out by a regulated third-party partner, not by Pandi Now.

2. What Pandi Now Is Not

Pandi Now is not a broker-dealer, investment advisor, securities exchange, bank, legal services provider, or guarantor of any outcome. Nothing on this platform is investment, legal, financial, or tax advice. You are responsible for your own decisions.

3. What You Agree to by Entering

By creating an account and accessing the platform, you confirm that you:

• Are at least 18 years old and legally capable of entering into agreements
• Will use the platform honestly, lawfully, and in good faith
• Understand that all information is provided by users and that Pandi Now does not verify everything
• Will not use the platform to deceive, defraud, or harm other users
• Accept that Pandi Now may remove your access if you violate these principles
• Have read and agree to your applicable role agreement (Member, Founder, or Funder)

4. Platform Behaviour: The Pandi Now Standard

Every person on this platform is expected to uphold:

• Honesty: Only share information you know to be accurate and complete
• Transparency: Do not obscure intentions, affiliations, or conflicts of interest
• Respect: Engage with others professionally and constructively
• Compliance: Follow all laws applicable to your use of the platform

The Pandi Now Standard is not optional. It is the condition on which you are permitted to use this platform.

5. No Securities Offering by Pandi Now

Pandi Now does not offer, sell, or solicit securities, and nothing displayed on the platform by Pandi Now is itself an offer or sale of securities. Where a venture-track initiative involves securities, any offer, sale, due diligence, and investor verification are conducted by a regulated third-party partner under that partner's own terms and compliance procedures. Founders remain responsible for the accuracy of the information they provide and for working with that partner; funders are responsible for understanding the nature of any capital commitment they make.

6. Limitation of Liability

To the fullest extent permitted by law, Pandi Now is not liable for any loss, damage, or harm resulting from your use of the platform, reliance on information provided by other users, or any funding or investment decision made through or in connection with the platform.

7. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
